1. Introduction to Our Services

Welcome and thank you for using Atlas Career Guide’s website. Please take a few minutes to read over and carefully the Terms and Conditions below because they are a binding Agreement between You and Atlas Career Guide, Inc. (“Atlas”, “We” or “The Company”).

1.1. Definition of Atlas Career Guide, Inc.

“Atlas Career Guide, Inc.” means ATLAS CAREER GUIDE, INC, a Delaware corporation.

1.2. Eligibility

In order to use the Service, you must:

  • •be able to legally undergo contractual obligations.
  • •complete the registration process.
  • •agree to these Terms.
  • •provide true, complete, and up-to-date contact and billing information; and
  • •not be – either individually or as part of a group, entity or state, subject to EU, US and UN sanctions, embargoes, and bans that prohibit the use of this Service

By using the Service, you represent and warrant that you meet all the requirements listed above, and that you won’t use the Service in a way that violates any laws or regulations. Note that by representing and warranting, you are making a legally enforceable promise.

Atlas Career Guide, Inc. may refuse service, close accounts of any users, and change eligibility requirements at any time.

1.3. Terms of Services

Atlas Career Guide, Inc provides free and paid career related services. The Company reserves the right to add new services, change or withdraw existing services and either communicate or not communicate any changes to the users of the services.

The following terms and conditions (the “Terms of Services” or “Terms”) constitute an Agreement between you, whether as a customer, prospect, business or referral partner, or casual visitor (“User”, “you”, or “your”) and Atlas Career Guide, Inc. (“Atlas”, “We” or “The Company”).

This Agreement governs your use of the Atlas Career Guide Inc.’s services, specially the GUIDU Application (the “App”), through which you can perform a set of specific assessments designed to identify your current abilities and match them with an appropriate path to move you forward in the pursuit of your objectives (the “Services”). Our Services include tools designed to facilitate the definition, design, and execution of a strategic plan for you or your business. The GUIDU App is a powerful tool to expedite your growth by identifying potential routes and helping you through mentorship or consulting throughout the journey.

Atlas owns and operates the website available at https://guidu.io/ (the “Site”) and the GUIDU application (the “App”) available at “Google Play Store” and at “Apple App Store, as well as related email newsletters, notifications, referral programs, and any other electronic communication platforms or services, including all content and features contained therein.

1.4. User Assent to Terms and Conditions of Use

By continuing to access or use this GUIDU App, or any service on this site, such as but not limited to requesting information through our site or downloading the App, you affirm that you have read and understood the TERMS and you signify your acceptance to them and as an outcome you agree to be bound by these terms of services, including our privacy notice, available at https://guidu.io/privacy.

You also agree: (i) to comply with applicable U.S. federal, state, local, and foreign laws and regulations regarding the transmission of any data obtained from the Site (as defined herein) in accordance with the Terms; (ii) not to use the Site for illegal purposes; and (iii) not to interfere or disrupt networks connected to the Site.

If you are visiting this Site or using the website from a country other than the United States, your communications with us may result in the transfer of information (including your registration or Personal information, as described below) across international boundaries. By visiting this Site, using the website, and/or communicating electronically with us, you consent to such transfers.

1.4.1. Patriotic Act, OFAC and other Regulations

By agreeing to these Terms and Conditions you represent and warrant to Atlas Career Guide Inc. that you will not use the Services or access any Content in the GUIDU App with the purpose of:

  • •violating any Anti-terrorism Laws. For these purposes, Anti-terrorism law means any requirement of law related to money laundering or financing terrorism including the PATRIOT Act, The Currency and Foreign Transactions Reporting Act (31 U.S.C. §§ 5311-5330 and 12 U.S.C. §§ 1818(s), 1820(b) and 1951-1959) (also known as the “Bank Secrecy Act”), the Trading With the Enemy Act (50 U.S.C. § 1 et seq.) and Executive Order 13224 (effective September 24, 2001).; or
  • •engaging in any transaction, investment, undertaking or activity that conceals the identity, source or destination of the proceeds from any category of prohibited offenses designated by the Organization for Economic Co-operation and Development’s Financial Action Task Force on Money Laundering.

1.4.2. You further represent and warrant to Atlas Career Guide Inc. that:

  • •Neither you, nor any of your affiliates or officers, directors, brokers or agents, subsidiary or affiliate that is acting or benefiting in any capacity in connection with the Services or the Content is a Blocked Person. “Blocked Person” means any person that (i) is publicly identified on the most current list of “Specially Designated Nationals and Blocked Persons” published by the Office of Foreign Assets Control of the US Department of the Treasury (“OFAC”) or resides, is organized or chartered, or has a place of business in a country or territory subject to OFAC sanctions or embargo programs, or (ii) is publicly identified as prohibited from doing business with the United States under the International Emergency Economic Powers Act, the Trading With the Enemy Act, or any other Requirement of Law.
  • •Neither you nor any of your affiliates or officers, directors, brokers or agents, subsidiary or affiliate acting or benefiting in any capacity in connection with the Services or the Content:
  • •conducts any business or engages in making or receiving any contribution of goods, services or money to or for the benefit of any Blocked Person;
  • •deals in, or otherwise engages in any transaction related to, any property or interests in property blocked pursuant to any Anti-terrorism Law; or
  • •engages in or conspires to engage in any transaction that evades or avoids, or has the purpose of evading or avoiding, or attempts to violate, any of the prohibitions set forth in any Anti-terrorism Law.

1.5. Contract Changes

Atlas Career Guide, Inc. (“Atlas”, “We” or “The Company”) owns and operates this Site on behalf of itself around the world to provide information and online services to its users for the GUIDU App (the “Service”).

Atlas Career Guide Inc. reserves the right at any time to modify this Agreement and to add new or additional terms or conditions on your use of the Services with or without notice to you. Such modifications and additional terms and conditions will be effective immediately and incorporated into this Agreement.

Accordingly, please continue to review the Terms whenever accessing or using this site. Your use of this Site, or any Service on this Site, after the posting of modifications to the Terms will constitute your acceptance of the Terms, as modified. If, at any time, you do not wish to accept the Terms, you may not use this Site. Any terms or conditions proposed by you that are in addition to or which conflict with the Terms are expressly rejected by Company and shall be of no force or effect.

2. Using our Services

2.1. Subscriptions

(a) Plans. The Company may offer access to certain content, features, or services of the GUIDU app through the following plans (together, "Paid Subscriptions"):

(i) Family Plan. An auto-renewing subscription purchased by an adult of at least 18 years of age (the "Account Holder"). The Account Holder may link to the plan the accounts of adolescent users under their responsibility, as indicated in the app.

(ii) Individual Plan. [If offered] A single, non-renewing purchase that grants an adolescent user access for a fixed period of [12 months]. It may only be purchased with parental supervision, as described in Section 2.2(e).

Before purchase, the app and the relevant App Store product page show each plan's price, duration, and included features. All Paid Subscriptions are available exclusively as in-app purchases, as described in Section 2.2.

(b) Family Plan – Account Holder Information. When an adult purchases a Family Plan, the Company may collect the Account Holder's identification and contact information, such as full name, email address, country of residence [and other data strictly necessary]. We use this information to create and manage the account, confirm that the Account Holder is an adult, link the adolescent users' accounts, and communicate about the subscription. It is processed in accordance with our Privacy Policy. Payment card and banking information is always handled by the App Store. Atlas Career Guide Inc. does not receive or store it.

(c) Individual Plan – Purchase by Adolescent Users. When an adolescent user purchases the Individual Plan, the relevant App Store collects and processes all billing and payment information, under its own terms and parental supervision tools. The Company does not collect billing or payment information from adolescent users. The Individual Plan does not renew and involves no recurring charges. When the access period ends, premium features are deactivated unless a new purchase is authorized.

(d) Renewal, Cancellation, and Price Changes. Renewal and cancellation of the Family Plan are governed by Section 2.2(d), and price changes by Section 2.2(f). Family Plan cancellations must be made by the Account Holder through their App Store account settings. Our support team at support@guidu.io can help with questions but cannot cancel a subscription on the Account Holder's behalf.

(e) Failed Payments (Family Plan). If the App Store cannot charge the Account Holder's payment method at renewal (for example, due to expiration or insufficient funds), it may retry the charge or offer a grace period under its own policies. If payment is not completed, premium features for all linked accounts will be suspended until the payment is resolved or a new Transaction is made.

(f) Free Trials. Free trials, if offered, are available only for the Family Plan and only to the Account Holder, as shown in the app and on the App Store at the time of purchase. Unless the Account Holder cancels at least 24 hours before the trial ends, the trial converts automatically into a paid Family Plan at the displayed price, charged by the App Store. Eligibility is determined by App Store rules and may be limited to one trial per account

2.2. Payments, Taxes, and Refunds

(a) In-App Purchases. Access to premium features and content of the GUIDU app is offered through the plans described in Section 2.1 (each purchase, a "Transaction"), available exclusively as an in-app purchase through the “Apple App Store” or the “Google Play Store” (each, an "App Store"). Each Transaction is concluded through the App Store from which you downloaded the app. It is governed by that App Store's terms and policies, in addition to these Terms.

(b) Payment Processing and Taxes. All payments are processed entirely by the relevant App Store. The App Store charges the payment method linked to your Apple ID or Google account, including any applicable taxes. Atlas Career Guide Inc. does not collect, process, or store your payment card or banking information. Questions about charges, billing, or payment methods should be directed to the relevant App Store.

(c) Account Linking. To use your subscription, you must be signed in to your GUIDU account. Access to paid features is granted once the App Store confirms the Transaction, and it remains linked to both the App Store account used for the purchase and your GUIDU account.

(d) Renewal and Cancellation. The Family Plan renews automatically for the same period at the then-current price, charged by the App Store, unless the Account Holder cancels it at least 24 hours before the end of the current period. Cancellation is made through the App Store account settings and takes effect at the end of the current billing period. Deleting the app does not cancel the subscription. The Individual Plan does not renew automatically.

(e) Users Under 18. Users under 18 may not purchase the Family Plan. They may purchase the Individual Plan only with the authorization of their parent or legal guardian, obtained through the App Store's parental supervision tools [and/or the parental consent process in the app]. The parent or guardian is responsible for any purchase they authorize.

(f) Price Changes. The Company will give advance notice of any change to the Family Plan price through the App Store and/or the app, as required by App Store rules and applicable law. The change applies only to subsequent billing periods, and the Account Holder may cancel before it takes effect. The Individual Plan price is fixed at the time of purchase for the entire access period.

(g) Refunds. Payments are processed by the App Stores, so Atlas Career Guide Inc. cannot issue refunds directly. Refund requests must be submitted to the relevant App Store and are handled under its refund policies. Nothing in these Terms limits any right of withdrawal or refund you may have under mandatory consumer protection laws applicable to you, including the Brazilian Consumer Defense Code (Law No. 8,078/1990).

(h) Service Issues. If technical problems prevent or unreasonably delay your access to paid content, please contact us at support@guidu.io. We will use reasonable efforts to restore access promptly and, where appropriate, support your refund request before the App Store.

(i) Fraud and Abuse. We may suspend or restrict access to paid features if we reasonably detect fraud, refund or chargeback abuse, unauthorized account use, or other manipulative conduct, without prejudice to other remedies available under applicable law.

2.3. GUIDU ID

You may obtain limited access to the GUIDU App anonymously. Less restricted use of our Services and access to our Content requires a username and password (the “GUIDU ID”).

To create an account with us (the “GUIDU ID”), you must be at least 16 (sixteen) years old and you must provide information that is truthful, accurate, complete and current at all times. Don’t try to impersonate anyone else when you create your account. If your information changes at any time, please update your account to reflect those changes. Failure to do so constitutes a breach of the Terms, which may result in termination of your account on our Services.

You must not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

Your “GUIDU ID” is valuable, and you are committed to safeguard it as a result of your registration. You also agree not to disclose it to any third party (other individual or entity).

Atlas Career Guide Inc. is not liable for any losses arising from the unauthorized use of your “GUIDU ID”, so you agree that you are fully duty-bounded for maintaining the confidentiality of your password and that you will be responsible for any breach of this obligation, including any damages which flow from, or are connected to, such breach, without limitation. Furthermore, you agree that you are fully responsible for all activities that occur under your password.

Finally, you agree to contact the Company immediately, through the e-mail support@guidu.io, if you have any reason to believe that your password has been compromised.

2.4. Privacy

Your use of our Services is subject to Atlas Career Guide’s Privacy Notice, available at https://guidu.io/privacy

2.5. Communication Services

When you use GUIDU App or send communications to us through it, you are communicating with us electronically. You consent to receive electronically any communications related to your use of GUIDU App. We may communicate with you by email or by posting notices on GUIDU App. You agree that all agreements, notices, disclosures and other communications that are provided to you electronically satisfy any legal requirement that such communications be in writing. All notices from us intended for receipt by you shall be deemed delivered and effective when sent to the email address you provide to us. Please note that by submitting Content, creating a user account or otherwise providing us with your email address, postal address or phone number, you are agreeing that we or our agents may contact you at that address or number in a manner consistent with our Privacy Notice Statement.

2.6. Services and Content Usage Rules

Your Services’ use must follow the rules outlined in this section (“Usage Rules”). Atlas Career Guide Inc. may monitor your use of the Services and Content to ensure that you follow these Usage Rules.

You may use our Services for any lawful purpose that will benefit your internal business operations.

You may not, except as this Agreement expressly permits:

  • i.copy, modify, or create derivative works or improvements of the Services or the Content;
  • ii.rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make available any Services or Content to any person, including on or in connection with the internet or any time-sharing, service bureau, software as a service, cloud or other technology or service;
  • iii.reverse engineer, disassemble, decompile, decode, adapt or otherwise attempt to derive or gain access to the source code of the Services or any Content, in whole or in part;
  • iv.bypass or breach any security device or protection used by the Services, the Content or the links to external websites or access or use the Services or Content other than by an authorized user through the use of his or her own then valid GUIDU ID;
  • v.input, upload, transmit or otherwise provide to or through the Services or any Content, any information or materials that are unlawful or defamatory, or contain, send or activate any harmful code;
  • vi.damage, destroy, disrupt, disable, impair, interfere with or otherwise impede or harm in any manner the GUIDU App, the Services, the Content, the links to external websites, or the provision of Services to any third party, in whole or in part;
  • vii.remove, delete, alter or obscure any trademarks, specifications, documentation, standard end user license agreement or custom user license agreement, warranties or disclaimers, or any copyright, trademark, patent, or other intellectual property or proprietary rights notices from any Services or any Content, including any copy thereof;
  • viii.access or use the Services or Content in any manner or for any purpose that is illegal, defamatory, harassing, or abusive, that infringes, misappropriates, or otherwise violates any intellectual property right or another right of any third party (including by any unauthorized access to, misappropriation, use, alteration, destruction, or disclosure of the data of any other user of the GUIDU App), or that violates any applicable Law or is otherwise objectionable.
  • ix.access or use the Services or any Content for purposes of competitive analysis of the Services or Content, the development, provision or use of a competing software service or product or any other purpose that is to Atlas Career Guide’s detriment or commercial disadvantage;
  • x.access or use the Services or Content in, or in association with, the design, construction, maintenance, operation of any hazardous environments, systems or applications, any safety response systems or other safety-critical applications, or any other use or application in which the use or failure of the Services could lead to personal injury or severe physical or property damage.
  • xi.disclose, use or copy any non-public, proprietary, or confidential information of any other user to which you gain access, directly or indirectly, through your use of the GUIDU App, the Services, or the Content. You may use such non-public, proprietary or confidential information solely to evaluate a potential transaction or business relationship between you and such another user; or provide Content.
  • xii.use this Site or GUIDU App to send spam or other unsolicited bulk email, for computer or network hacking or cracking; or to transmit any viruses, worms, bugs, Trojan horses or other code; or files or programs designed to, or capable of, disrupting, damaging or limiting the functionality or security of this Site or the GUIDU App as well as any third party’s equipment and/or website.
  • xiii.use this Site or GUIDU App for any commercial use without Atlas Career Guide’s express prior written consent.

2.7. Content you post and Submissions Guidelines

Our Services may allow you to submit media content and materials such as comments, video clips, audio clips, information, and data. You agree that you are responsible for any content you post or otherwise submit through the Company’s Services, including its legality, reliability, appropriateness, originality, and copyright. You also agree to use our Services only to post, send and receive messages and material that are proper and related to the particular Service.

Your use of such features must comply with the Submissions Guidelines rules below, which may be updated from time to time.

Atlas Career Guide Inc. has no obligation to monitor the content you post. However, the Company reserves the right to review the media content and materials posted through GUIDU App and to remove or edit them in its sole discretion. The Company reserves the right to terminate your access to any or all of the Services at any time without notice for any reason whatsoever.

Atlas Career Guide Inc. will manage any personal information it collects via this Site in accordance with its Privacy Notice Statement available at https://guidu.io/privacy. In accordance with its Privacy Notice Statement, the Company reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Company’s sole discretion.

By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the media content and materials.

The Company does not claim ownership of the media content and materials you provide to us (including feedback and suggestions) or post, upload, input or submit to any Communication Services (collectively "Submissions"); however, by posting, uploading, inputting, providing or submitting your Submission you are granting Atlas Career Guide, Inc., its affiliated companies, sublicensees and other users of this Site permission to use your Submission in connection with the operation of their businesses including, without limitation, the rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your Submission; and to publish your name in connection with your Submission.

No compensation will be paid with respect to the use of your Submission, as provided herein. Company is under no obligation to post or use any Submission you may provide and may remove or edit any Submission at any time in its sole discretion.

You at this moment grant Atlas Career Guide Inc. a worldwide, royalty-free, perpetual, non-exclusive license to use the materials you submit within the Services and related marketing.

You may not use the Services to:

  • i.post any materials that you do not have permission, right, or license to use;
  • ii.upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents.
  • iii.publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent objectionable, offensive or unlawful topic, name, material or information.
  • iv.defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.
  • v.post personal, private, or confidential information belonging to others;
  • vi.harvest or otherwise collect information about others, including e-mail addresses, without their consent.
  • vii.request personal information from a minor;
  • viii.impersonate or misrepresent your affiliation with another person or entity;
  • ix.post or transmit spam, including but not limited to unsolicited or unauthorized
  • x.advertising, promotional materials, or informational announcements;
  • xi.advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages.
  • xii.conduct or forward surveys, contests, pyramid schemes or chain letters.
  • xiii.download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner.
  • xiv.falsify or delete any author’s attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.
  • xv.restrict or inhibit any other user from using and enjoying the Services.
  • xvi.violate any code of conduct or other guidelines which may be applicable for any particular Service.
  • xvii.plan or engage in any illegal, fraudulent, or manipulative activity.
  • xviii.violate any applicable laws or regulations.

2.8. Content and Service Availability

Atlas Career Guide Inc. will use reasonable efforts to make the Services and content available, twenty-four hours a day, seven days a week, excluding only the time the Services are not available as a result of one or more of the following exceptions.

  • a.failures of your internet connectivity;
  • b.internet or other network traffic problems other than problems arising in or from networks actually or required to be provided or controlled by Atlas Career Guide;
  • c.your failure to meet any minimum hardware or software requirements for the use of the Services;
  • d.Scheduled Downtime.

2.9. Recommendation Features

The Services will recommend Content to you based on the results of your assessment(s), other activities, and the information and data provided by you.

Some recommendations may require your permission before they are turned on. If you turn on these features, you will be asked to give Atlas Career Guide Inc. permission to collect and store specific data, including but not limited to data about your activity, location, and usage. Please carefully read the information presented when you turn on these features.

3. Additional and Miscellaneous Terms Applicable to All Services

3.1. GUIDU Application Maintenance and Support

Atlas Career Guide Inc. is responsible for providing maintenance and support for GUIDU App only, or as required under applicable law.

3.2. Licensed Application End User License Agreement

  • •Services made available through the GUIDU App are licensed, not sold, to you. Your license to each application or service is subject to your prior acceptance of either this Licensed Application End User License Agreement (“Standard EULA”) or a custom end user license agreement between you and the Application Provider (“Custom EULA”), if one is provided. Atlas Career Guide Inc. grants your license to any Atlas Career Guide Inc. application under this Standard EULA or Custom EULA. Your consent to any Third-Party application or service under this Standard EULA or Custom EULA is granted by the Application Provider of that Third-Party application or service. Any application or service subject to this Standard EULA is referred to herein as the “Licensed Application.” The Application Provider or Atlas Career Guide Inc. as applicable (“Licensor”) reserves all rights in and to the Licensed Application not expressly granted to you under this Standard EULA.
  • •Scope of License: Licensor grants to you a non-transferable license to use the Licensed Application on any suitable device that you own or control and as permitted by the Usage Rules. The terms of this Standard EULA will govern any content, materials, or services accessible from or purchased within the Licensed Application as well as upgrades provided by Licensor that replace or supplement the original Licensed Application, unless such upgrade is accompanied by a Custom EULA. Except as otherwise provided in a Custom EULA, you may distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not transfer, redistribute or sublicense the Licensed Application. You may not copy (except as permitted by this license), reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof (except as and only to the extent that any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by the licensing terms governing use of any open-sourced components included with the Licensed Application).
  • •Consent to Use of Data: You agree that Licensor may collect and use technical data and related information—including but not limited to technical information about your device, system and application software, and peripherals—that is gathered periodically to facilitate the provision of software updates, product support, and other services to you (if any) related to the Licensed Application. Licensor may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you.
  • •Termination. This Standard EULA is effective until terminated by you or Licensor. Your rights under this Standard EULA will terminate automatically if you fail to comply with any of its terms.
  • •External Services. The Licensed Application may enable access to Licensor’s and/or third-party services and websites (collectively and individually, “External Services”). You agree to use the External Services at your sole risk. Licensor is not responsible for examining or evaluating the content or accuracy of any third-party External Services and shall not be liable for any such third-party External Services. Data displayed by any Licensed Application or External Service, including but not limited to financial, medical and location information, is for general informational purposes only and is not guaranteed by Licensor or its agents. You will not use the External Services in any manner that is inconsistent with the terms of this Standard EULA or that infringes the intellectual property rights of Licensor or any third party. You agree not to use the External Services to harass, abuse, stalk, threaten or defame any person or entity, and that Licensor is not responsible for any such use. External Services may not be appropriate or available for use in any particular location. To the extent you choose to use such External Services, you are solely responsible for compliance with any applicable laws. Licensor reserves the right to change, suspend, remove, disable or impose access restrictions or limits on any External Services at any time without notice or liability to you.
  • •NO WARRANTY: YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE LICENSED APPLICATION IS AT YOUR SOLE RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED APPLICATION AND ANY SERVICES PERFORMED OR PROVIDED BY THE LICENSED APPLICATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, AND LICENSOR HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE LICENSED APPLICATION AND ANY SERVICES, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND OF NON-INFRINGEMENT OF THIRD-PARTY RIGHTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY LICENSOR OR ITS AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE LICENSED APPLICATION OR SERVICES PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.
  • •Limitation of Liability. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE LICENSED APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. In no event shall Licensor’s total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of $100. The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.
  • •You may not use or otherwise export or re-export the Licensed Application except as authorized by United States law and the laws of the jurisdiction in which the Licensed Application was obtained. In particular, but without limitation, the Licensed Application may not be exported or re-exported (a) into any U.S.-embargoed countries or (b) to anyone on the U.S. Treasury Department’s Specially Designated Nationals List or the U.S. Department of Commerce Denied Persons List or Entity List. You also agree that you will not use these products for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons.
  • •The Licensed Application and related documentation are “Commercial Items”, as that term is defined at 48 C.F.R. §2.101, consisting of “Commercial Computer Software” and “Commercial Computer Software Documentation”, as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202, as applicable.   • •Except to the extent expressly provided in the following paragraph, this Agreement and the relationship between you and Atlas Career Guide Inc. shall be governed by the laws of the State of Florida, excluding its conflicts of law provisions. You and Atlas Career Guide Inc. agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Miami-Dade, to resolve any dispute or claim arising from this Agreement. If (a) you are not a U.S. citizen; (b) you do not reside in the U.S.; (c) you are not accessing the Service from the U.S.; and (d) you are a citizen of one of the countries identified below, you hereby agree that any dispute or claim arising from this Agreement shall be governed by the applicable law set forth below, without regard to any conflict of law provisions, and you hereby irrevocably submit to the non-exclusive jurisdiction of the courts located in the state, province or country identified below whose law governs:

If you are a citizen of any European Union country or Switzerland, Norway or Iceland, the governing law and forum shall be the laws and courts of your usual place of residence.

Specifically excluded from application to this Agreement is that law known as the United Nations Convention on the International Sale of Goods.

3.3. Third-party Materials

Atlas Career Guide Inc. is not responsible or liable for third party materials included within or linked from the GUIDU App, the Content or the Services.

3.4. Intellectual Property

You agree that the content on this Site and the Services, including but not limited to texts, graphics, user interface, audio clips, video clips, editorial content and the scripts and software used to implement the Services, contain proprietary information and material that are owned by Atlas Career Guide Inc. and/or its licensors and are protected by copyrights, trademarks, service marks, international treaties and/or other proprietary rights and laws of the U.S. and other countries and international jurisdictions.

Atlas Career Guide’s Content is provided to you “as is”, “as available”, and “with all faults” for your information and personal, non-commercial use only. The Company’s Content and Services may not be downloaded, modified, copied, reproduced, distributed, transmitted, broadcast, displayed, rented, loaned, sold, licensed, or otherwise exploited for any purposes whatsoever without the express prior written consent of Atlas Career Guide.

You agree to abide by all applicable copyright, trademark, and other laws along with any additional copyright notices or restrictions contained in this website. Furthermore, you agree that you will not use such proprietary information or materials in any way whatsoever except for use of the Services for any lawful purpose connected with your business operations, in compliance with this Agreement.

The Atlas Career Guide Inc. name, the Atlas Career Guide Inc. logo, the GUIDU App name and the GUIDU App logo and all other Atlas Career Guide Inc. trademarks, service marks, graphics and logos used in connection with the Services are trademarks or registered trademarks of Atlas Career Guide Inc. in the U.S. and other countries throughout the world.

No right or license under any copyright, trademark, patent, other proprietary right or license is granted by these Terms of Services. The Company reserves all rights not expressly granted in and to Atlas Career Guide Inc. Content, Site and App and these Terms of Services do not transfer ownership of any of these rights.

3.5. Copyright Notice

If you believe that any Content available through the GUIDU App or the Services infringe a copyright claimed by you, please contact Atlas Career Guide Inc. through the e-mail support@guidu.io providing the following information:

(a) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;

(b) a description of the copyrighted work that you claim has been infringed;

(c) a description of where the material that you claim is infringing is located on this Site;

(d) your address, telephone number, and email address;

(e) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and

(f) a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

3.6. Termination and Suspension of Services

Either you or Atlas Career Guide Inc. may terminate these Terms and Conditions of Services with or without cause at any time and effective immediately.

You may terminate by discontinuing the use of the Site or the GUIDU App. On the other hand, if you fail or if Atlas Career Guide Inc. suspects that you have failed to comply with any of the provisions of this Agreement, the Company, in its sole discretion, may, without notice to you:

  • I.terminate this Agreement and/or your GUIDU ID, and you will remain liable for all amounts due under your GUIDU ID up to and including the date of termination; and/or
  • II.terminate your license to the software or Content; and/or
  • III.preclude your access to the Services and its Contents.

Atlas Career Guide Inc. further reserves the right to modify, suspend, or discontinue the Services (or any part or Content thereof) at any time with or without notice to you, and Atlas Career Guide Inc. will not be liable to you or to any third party should it exercise such rights.

3.7. Disclaimer of Warranties; Liability Limitation

OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OF SERVICE, NEITHER

ATLAS CAREER GUIDE INC. NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS OR LICENSORS MAKE ANY SPECIFIC PROMISES ABOUT THE SITE. FOR EXAMPLE, WE DON’T MAKE ANY COMMITMENTS ABOUT THE CONTENT WITHIN THE SITE, THE SPECIFIC FUNCTION OF THE SITE, OR ITS RELIABILITY, AVAILABILITY, OR ABILITY TO MEET YOUR NEEDS. WE PROVIDE THE SITE “AS IS”.

IN ADDITION, ATLAS CAREER GUIDE INC. DOES NOT GUARANTEE, REPRESENT, OR WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, AND YOU AGREE THAT FROM TIME TO TIME ATLAS CAREER GUIDE INC. MAY REMOVE THE SERVICES FOR INDEFINITE PERIODS OF TIME, CANCEL THE SERVICES AT ANY TIME, OR OTHERWISE LIMIT OR DISABLE YOUR ACCESS TO THE SERVICES WITHOUT NOTICE TO YOU.

YOU EXPRESSLY AGREE THAT YOUR USE OF, OR INABILITY TO USE, THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES AND ALL CONTENT DELIVERED TO YOU THROUGH THE SERVICES ARE (EXCEPT AS EXPRESSLY STATED BY ATLAS CAREER GUIDE) PROVIDED “AS IS” AND “AS AVAILABLE” FOR YOUR USE, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

IN NO CASE SHALL ATLAS CAREER GUIDE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF ANY OF THE SERVICES OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES AND/OR CONTENT, INCLUDING, BUT NOT LIMITED TO, ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

ATLAS CAREER GUIDE INC. SHALL USE REASONABLE EFFORTS TO PROTECT INFORMATION SUBMITTED BY YOU IN CONNECTION WITH THE SERVICES, BUT YOU AGREE THAT YOUR SUBMISSION OF SUCH INFORMATION IS AT YOUR SOLE RISK, AND YOU HEREBY RELEASE ATLAS CAREER GUIDE INC. FROM ANY AND ALL LIABILITY TO YOU FOR ANY LOSS OR LIABILITY RELATING TO SUCH INFORMATION IN ANY WAY.

ATLAS CAREER GUIDE INC. DOES NOT REPRESENT OR GUARANTEE THAT THE SERVICES WILL BE FREE FROM LOSS, CORRUPTION, ATTACK, VIRUSES, INTERFERENCE, HACKING, OR OTHER SECURITY INTRUSION, AND YOU HEREBY RELEASE ATLAS CAREER GUIDE INC. FROM ANY LIABILITY RELATING THERETO. YOU SHALL BE RESPONSIBLE FOR BACKING UP YOUR OWN SYSTEM, INCLUDING ANY CONTENT ACQUIRED OR LICENSED THROUGH THE SERVICES.

ATLAS CAREER GUIDE INC. IS NOT RESPONSIBLE IN CONNECTION WITH YOUR USE OF THE SERVICES.

SOME JURISDICTIONS PROVIDE FOR CERTAIN WARRANTIES, LIKE THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES.

3.8. Waiver and Indemnity

BY USING THE SERVICES, YOU AGREE, TO THE EXTENT PERMITTED BY LAW, TO INDEMNIFY AND HOLD ATLAS CAREER GUIDE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS HARMLESS WITH RESPECT TO ANY CLAIMS ARISING OUT OF YOUR BREACH OF THIS AGREEMENT, YOUR USE OF THE SERVICES, OR ANY ACTION TAKEN BY ATLAS CAREER GUIDE INC. AS PART OF ITS INVESTIGATION OF A SUSPECTED VIOLATION OF THIS AGREEMENT OR AS A RESULT OF ITS FINDING OR DECISION THAT A VIOLATION OF THIS AGREEMENT HAS OCCURRED.

ON TOP OF THAT, YOU AGREE THAT YOU SHALL NOT SUE OR RECOVER ANY DAMAGES FROM ATLAS CAREER GUIDE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS AND LICENSORS AS A RESULT OF ITS DECISION TO REMOVE OR REFUSE TO PROCESS ANY INFORMATION OR CONTENT, TO WARN YOU, TO SUSPEND OR TERMINATE YOUR ACCESS TO THE SERVICES, OR TO TAKE ANY OTHER ACTION DURING THE INVESTIGATION OF A SUSPECTED VIOLATION OR AS A RESULT OF ATLAS CAREER GUIDE’S CONCLUSION THAT A VIOLATION OF THIS AGREEMENT HAS OCCURRED.

THIS WAIVER AND INDEMNITY PROVISION APPLIES TO ALL VIOLATIONS DESCRIBED IN OR CONTEMPLATED BY THIS AGREEMENT.

3.9. Statutory Exceptions for Public Institutions

If you are a qualified public educational or government institution and any part of this Agreement, such as, by way of example, all or part of the indemnification section, is invalid or unenforceable against you because of applicable local, national, state or federal law, then that portion shall be deemed invalid or unenforceable, as the case may be, and instead construed in a manner most consistent with applicable governing law.

3.10. Governing Law

Except to the extent expressly provided in the following paragraph, this Agreement and the relationship between you and Atlas, and all Transactions on the Services shall be governed by the laws of the State of Florida, excluding its conflicts of law provisions. You and Atlas agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Miami-Dade, Florida, to resolve any dispute or claim arising from this Agreement.

If (a) you are not a U.S. citizen; (b) you do not reside in the U.S.; (c) you are not accessing the Service from the U.S.; and (d) you are a citizen of one of the countries identified below, you hereby agree that any dispute or claim arising from this Agreement shall be governed by the applicable law set forth below, without regard to any conflict of law provisions, and you hereby irrevocably submit to the non-exclusive jurisdiction of the courts located in the state, province or country identified below whose law governs:

3.11. Access Outside the United States.

If you choose to access the Site from outside the United States, you are responsible for compliance with foreign and local laws. Company shall not provide insurance or reinsurance broking, risk consulting, claims or other services or provide any benefit to the extent that the provision of such services or benefit would violate applicable law or expose Company or its affiliates to any sanction, prohibition or restriction under UN Security Council Resolutions or under other trade or economic sanctions, laws or regulations By using the Site, you represent and warrant that you are in compliance with all local and foreign laws.

3.12. Other Provisions

This Agreement constitutes the entire agreement between you and Atlas. It governs your use of the Services, superseding any prior agreements concerning the same subject matter between you and Atlas. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content, third-party software, External Services, or external Content linked to the GUIDU App. Suppose any part of this Agreement is held invalid or unenforceable. In that case, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. Atlas’s failure to enforce any right or provisions in this Agreement will not constitute a waiver of such or any other provision. Atlas will not be responsible for losses to fulfill any obligations due to causes beyond its control.

You agree to comply with all local, state, federal, and national laws, statutes, ordinances, and regulations that apply to your use of the Services. Your use of the Services may also be subject to other laws. Risk of loss for all electronically delivered Transactions passes to the acquirer upon electronic transmission to the recipient. No Atlas employee or agent has the authority to vary this Agreement.

Atlas may notify you concerning the Services by sending an email message to your email address or a letter via postal mail to your mailing address or posting on the Services. Notices shall become effective immediately. Atlas may also contact you by email or notification to send you additional information about the Services.

You at this moment grant Atlas the right to take steps Atlas believes are reasonably necessary or appropriate to enforce or verify compliance with any part of this Agreement.

You agree that Atlas has the right, without liability to you, to disclose any data or information to law enforcement authorities, government officials, or a third party, as Atlas believes is reasonably necessary or appropriate to enforce or verify compliance with any part of this Agreement (including but not limited to Atlas’s right to cooperate with any legal process relating to your use of the Services or Content, or a third-party claim that your use of the Services or Content is unlawful or infringes such third party’s rights).

Children and Adolescents under the age of majority should review this Agreement with their parent or guardian to ensure that the child or adolescent and parent or legal guardian understand it.
